Public limited companies

A public company opens the door to wider ownership, and to more governance

A public limited company suits ventures that expect many shareholders, need a larger and more formal board, or want a route to raising capital from a wider base. In return, it carries heavier governance and reporting obligations than a private company.

Under SECP's guidance, a public company needs at least three members and, unlike a private company, does not restrict the transfer of its shares or cap the number of members. It needs more directors than a private company, holds annual general meetings, appoints auditors, and files audited financial statements and annual returns with SECP. Public companies are incorporated through eZfile in the same way as other companies, with articles drafted for their governance needs.

Most of our public company clients are unlisted companies: hospitals and schools with community shareholders, joint ventures, larger family groups and projects that need a formal structure for investors. Listing on the Pakistan Stock Exchange is a separate, much larger process. We also handle the statutory audit and corporate secretarial work a public company needs every year.

A public company is a good choice for the right venture and an expensive one for the wrong venture. We help you tell the difference.

Risks we prevent

Where public company setup usually goes wrong

These are the issues we see most often with public companies formed without planning.

01

A public company that should be private

Choosing public status without a real need brings heavier governance and audit costs.

We test whether you need it.
02

Too few members or directors

Public companies need at least three members and a larger board than private companies.

We plan your membership and board.
03

Weak articles

Articles copied from a template rarely cover board powers, share issues and disputes properly.

We draft for your governance.
04

AGM and audit missed

Public companies must hold annual general meetings and file audited accounts.

We run the annual calendar.
05

Shares issued without filings

Every allotment needs a return of allotment within 45 days.

We file each issue on time.
06

Confusing public with listed

A public company is not listed. Listing on the stock exchange is a separate process.

We explain what each involves.

FAQs

Public limited company questions we hear most

Have a question that is not here? Send it to us on WhatsApp and we will reply the same day.

How many members does a public limited company need?
According to SECP's guidance, a public company needs at least three members. Unlike a private company, it has no 50-member limit and does not restrict the transfer of its shares.
What is the difference between a public limited and a private limited company?
A private company has two to 50 members, restricts share transfers and cannot invite the public to subscribe. A public company has at least three members, no member cap, freely transferable shares and heavier governance, audit and reporting obligations.
Is a public limited company the same as a listed company?
No. A public company can be unlisted. Listing its shares on the Pakistan Stock Exchange is a separate process with its own requirements for disclosure, governance and capital.
Does a public company need an audit?
Yes. Public companies appoint auditors and file audited financial statements with their annual return. Our statutory audit team can carry out the audit.
Can a private company convert into a public company?
Yes. A private company can convert by special resolution and the required filings, usually when it outgrows the private company limits or needs wider ownership. Applications must be made within the time limits set after the resolution.
How many directors does a public company need?
A public company needs more directors than a private company, and listed companies need more again. We confirm the exact requirements for your company under the Companies Act, 2017 when we design the board.
Can foreign investors be members of a public company?
Yes. Foreign individuals and companies can be members and directors, subject to additional documentation and checks such as security clearance where required.
How much does public company incorporation cost?
SECP's fees depend mainly on authorised capital, and our professional fee is fixed. Ongoing secretarial and audit work is quoted separately. Your first consultation is free.
