Audit Representation in Pakistan before SECP, regulators and other reviewing bodies

When a regulator, donor or other reviewing body examines your records, you need someone who can explain them clearly and keep the process on track. We represent companies and organisations in non-tax audit and review proceedings, especially SECP inspections, inquiries and special audit follow-ups, and coordinate with our tax team where FBR is also involved.

Audit representation

A review goes better with one clear voice for the business

Inspections and reviews by SECP, donors or lenders can be stressful, especially when records are spread across people and systems. A representative who understands both the records and the rules keeps requests organised, answers consistent and findings properly addressed.

Under the Companies Act, 2017, SECP and the registrar can call for information, inspect records and inquire into a company's affairs, and under section 253 SECP can direct a special audit. Findings may lead to show-cause notices, penalties or directions to rectify. Outside company law, donors review the use of grant funds against their agreements, and lenders may carry out stock audits or covenant reviews. In each case, what the business produces and how it explains it shapes the outcome.

As your representative, we review the notice or request and the powers being used, agree a practical timetable, organise and reconcile the records requested, attend meetings with you or on your behalf, answer queries in writing and respond to draft findings. Where the review identifies filing gaps, our corporate compliance team regularises them; where it touches tax, our tax audit representation team takes over the FBR side, so the positions stay consistent.

Our first step is always to read the request closely: which authority issued it, under which power, for which period and by what date. That tells us what must be produced and what can reasonably be questioned. We then set up a single log of every request, the person responsible for each answer and the date it is due, and review every document before it leaves the business, checking that it agrees with your financial statements, SECP filings and tax returns.

During the review we keep answers factual and in writing. If a reviewer asks something we cannot answer immediately, we note it and respond by an agreed date rather than guessing. Where draft findings are shared, we prepare a point-by-point response with evidence, correcting facts and explaining context. Once the review closes, we give you a short summary of the outcome, the actions agreed and the filings or process changes needed, and our teams help complete them so the same issues do not arise at the next review.

Representation is most effective when records are already in order. A compliance audit beforehand helps, and our accounts reconciliation team can prepare the figures a reviewer will test.

Regulators respond well to organised, honest, documented answers. That is how we present every response.

FAQs

Audit representation questions we hear most

Have a question that is not here? Send it to us on WhatsApp and we will reply the same day.

What is audit representation?
It means appointing a representative to manage an audit, inspection or review on your behalf: handling requests, organising records, attending meetings and responding to findings.
Can SECP inspect my company's records?
Yes. Under the Companies Act, 2017, SECP and the registrar can call for information, inspect records and inquire into a company's affairs, and SECP can direct a special audit under section 253.
How is this different from tax audit representation?
This page covers SECP and other non-tax reviews. FBR income tax and sales tax audits are handled by our tax audit representation service.
Do you represent NGOs in donor reviews?
Yes. We help organisations prepare for donor monitoring visits and grant audits, and respond to findings on eligible costs and procurement.
What if the review finds filing gaps?
We regularise them with SECP through our corporate compliance team, which usually strengthens your position in any follow-up.
Can you respond to an SECP show-cause notice?
Yes. We prepare written replies with the facts, records and legal points, and represent you in any hearing.
Do I need to attend meetings myself?
Not always. As your authorised representative we can attend, though regulators sometimes ask to meet directors or officers directly.
How much does audit representation cost?
We charge a fixed fee per matter, based on the scope of the review. Your first consultation is free.
