Annual SECP compliance

One missed annual return can quietly turn into years of penalties

Every company registered with SECP has an annual cycle: hold an annual general meeting, adopt the accounts, file the financial statements where required and file an annual return showing who the members, directors and officers are. Miss it, and penalties grow with every day of default.

Under section 132 of the Companies Act, 2017, a company holds its first AGM within 16 months of incorporation and then one each year within 120 days of its financial year end, with members given at least 21 days' notice. Single member companies are exempt from holding an AGM. Under section 130, the annual return is filed within 30 days of the AGM, or within 30 days of the calendar year end if no AGM is held. Where section 233 requires it, the audited financial statements are filed within 15 days of the AGM, and the beneficial ownership declaration is filed with the annual return.

Companies that stop filing for two consecutive years can be placed on the register of inactive companies, and persistent non-filing can end in the company being struck off. Inactive companies have their own simpler annual filing, due within 30 days of the close of each calendar year. If your company is behind, our corporate compliance team can bring it up to date, and if it has already been struck off, see company restoration.

Annual returns are simple to file on time and expensive to fix later. We make sure yours never fall behind.

Risks we prevent

Where annual SECP compliance usually goes wrong

These are the issues we fix most often for companies that fell behind.

01

AGM never held

Missing the 120-day AGM window under section 132 is a default in itself and delays every filing after it.

We schedule your AGM early.
02

Annual return late

The annual return is due within 30 days of the AGM under section 130, with penalties for every day of delay.

We file within the window.
03

Accounts not filed

Where required, audited accounts must be filed within 15 days of the AGM under section 233.

We file accounts with the return.
04

Out-of-date member details

An annual return that does not match the register of members and earlier filings raises questions.

We reconcile every filing.
05

UBO declaration missed

The beneficial ownership declaration is filed alongside the annual return.

We include it every year.
06

Two years of silence

Companies that do not file for two consecutive years risk the inactive register and, later, striking off.

We bring you up to date quickly.

FAQs

SECP annual return questions we hear most

Have a question that is not here? Send it to us on WhatsApp and we will reply the same day.

When is the SECP annual return due?
Under section 130 of the Companies Act, 2017, the annual return is filed within 30 days of the annual general meeting, or within 30 days of the end of the calendar year if no AGM is held, as with single member companies.
When must a company hold its AGM?
Under section 132, the first AGM is held within 16 months of incorporation, and after that once each year within 120 days of the financial year end, with at least 21 days' notice to members. Single member companies are exempt from holding an AGM.
Does every company file financial statements with SECP?
Not every company. Section 233 requires many companies to file audited financial statements within 15 days of the AGM, while some smaller private companies are relieved from forwarding accounts or may file unaudited accounts. We confirm what applies to your company.
What is in an annual return?
The annual return reports the company's registered office, share capital, members and their shareholdings, directors and officers and other particulars as at the date of the AGM. It must agree with the company's registers and earlier filings.
What happens if I do not file my annual return?
Late filing attracts penalties under the Companies Act, 2017. Companies that fail to file for two consecutive years can be placed on the register of inactive companies, and persistent non-filing can lead to the company being struck off.
Do inactive companies file annual returns?
Yes. According to SECP's guidance, an inactive company files its annual return with the annual fee within 30 days of the close of each calendar year, and must keep the minimum number of directors for its type.
Can you file annual returns for previous years?
Yes. We review the company's history, prepare the missing returns and accounts in the right order and advise on any penalties. Bringing filings up to date is also the first step if the company needs to be restored.
How much does annual return filing cost?
We charge a fixed annual fee based on your company type and whether audited accounts are needed. Catch-up filings are quoted separately. Your first consultation is free.
