Private limited companies

The structure most growing businesses in Pakistan choose, and why the details matter

A private limited company is the most common choice for businesses with more than one owner. It separates the business from its shareholders, limits their liability and makes it straightforward to bring in partners, employees or investors as shareholders.

Under SECP's rules, a private company has at least two and no more than 50 members, restricts the transfer of its shares and cannot invite the public to buy them. It is incorporated through SECP's eZfile portal, where each subscriber signs the application and the memorandum and articles are generated. The articles are where the real protection lies: how shares can be transferred, what happens if a partner leaves and how decisions are made.

Once incorporated, shares issued to members must be reported on a return of allotment within 45 days, the beneficial ownership register must be kept up to date and changes in shareholding reported on time. The company then files annual returns with SECP and income tax returns with FBR, supported by proper financial statements. If you are a single owner today, a single member company may suit you better, with conversion later.

The most common dispute we see between partners is about something their articles never addressed. We address it before you sign.

Risks we prevent

Common mistakes with private limited companies

These problems usually surface when a partner leaves or an investor arrives.

01

No exit rules

Articles that say nothing about a partner leaving or dying leave the other owners exposed.

We draft clear transfer and exit rules.
02

Equal splits with no tie-breaker

A 50:50 company with no deadlock mechanism can stall on every major decision.

We plan governance upfront.
03

Shares never formally issued

Without a return of allotment, the share register and SECP's records do not match.

We file Form-3 within 45 days.
04

Too many members

A private company is limited to 50 members, which matters for employee share plans.

We plan ownership for growth.
05

Shareholding changes unreported

Changes in shareholding and beneficial ownership must be filed within short deadlines.

We file changes as they happen.
06

Company money treated as personal

Drawing company funds informally creates tax and legal problems for directors.

We set up proper books and payroll.

FAQs

Private limited company questions we hear most

Have a question that is not here? Send it to us on WhatsApp and we will reply the same day.

How many shareholders does a private limited company need?
A private limited company needs at least two members and can have no more than 50. If you are the only owner, a single member company is the usual alternative, and it can be converted to a private limited company when others join.
What are the benefits of a private limited company?
It limits each shareholder's liability, gives the business its own legal identity, makes ownership easy to divide and transfer under agreed rules, and is the structure most investors and banks expect. In return it has more filing obligations than a sole proprietorship or partnership.
Can a private limited company sell shares to the public?
No. A private company restricts the transfer of its shares and cannot invite the public to subscribe for them. Businesses planning wider ownership can consider a public limited company.
What is a return of allotment?
It is the filing on Form-3 that reports shares issued by the company, due within 45 days of the allotment. It keeps SECP's record of who owns the company in line with your share register.
How much share capital do I need?
There is no high minimum for most private companies, but the authorised capital you choose affects SECP's fees and how many shares you can issue without increasing it later. We recommend a level that suits your plans.
Can foreigners be shareholders in a private limited company?
Yes. Foreign nationals and foreign companies can hold shares and act as directors, subject to additional documentation and checks such as security clearance where required.
What filings does a private limited company make each year?
It files an annual return with SECP, reports events such as changes in directors, shareholding and address, keeps its beneficial ownership register updated and files income tax returns with FBR based on its financial statements.
How much does private limited company registration cost?
SECP's fees depend mainly on authorised capital, and our professional fee is fixed for the package. Your first consultation is free and you receive a written quote before any work starts.
