Event-based filings

Most SECP defaults happen between annual returns, not at them

Annual returns get attention because they come round every year. The filings that catch companies out are the ones triggered by events: issuing shares, a partner selling out, a new director, a change in what the company does. Each has its own form and a deadline measured in days.

Under the Companies Regulations, 2024, SECP's guidance sets out the main event-based filings. A return of allotment is filed on Form-3 within 45 days of issuing shares. A change in shareholding of more than 25% is reported on Form-3 within 15 days with a supporting affidavit, and smaller changes may also be reported. A change in the principal line of business is filed on Form-4 within 30 days, director and officer changes are filed on Form-9, and changes in ultimate beneficial ownership are declared on Form-18 within 14 days. Special resolutions altering the memorandum or converting the company need petitions or applications within 90 days of the resolution.

Each filing has to agree with your registers, your earlier returns and, often, your tax position with FBR. A share transfer, for example, has both SECP and tax consequences. We handle the SECP side here and coordinate with our share transfer and corporate tax advisory teams on the rest.

We ask clients to tell us when anything changes in the company. The filing is usually quick; the penalty for forgetting is not.

Risks we prevent

The filings companies miss most often

These are the gaps we find most often when we review a company's SECP record.

01

Shares issued without a return

Shares allotted but never reported on Form-3 within 45 days leave SECP's records wrong.

We file every allotment.
02

A partner's exit never reported

A shareholding change above 25% must be reported within 15 days with an affidavit.

We file transfers promptly.
03

Directors changed informally

A director who has left but still appears on SECP's records remains exposed to the company's defaults.

We file Form-9 on time.
04

UBO changes ignored

Beneficial ownership changes must be declared on Form-18 within 14 days.

We keep the UBO register current.
05

A new line of business

Moving into a new main activity needs a Form-4 filing within 30 days.

We file it as you change.
06

Resolutions left unfinished

Special resolutions that are never followed by the petition or application within 90 days lapse.

We complete the process.

FAQs

SECP filing questions we hear most

Have a question that is not here? Send it to us on WhatsApp and we will reply the same day.

What is Form-3?
Under the Companies Regulations, 2024, Form-3 is used for the return of allotment of shares, due within 45 days of the allotment, and for reporting changes in shareholding. Changes of more than 25% are reported within 15 days with a supporting affidavit.
Which form is used for changes in directors?
SECP's guidance under the Companies Regulations, 2024 refers to Form-9 for changes in directors and officers, filed with supporting documents such as consents or resignation letters. Changes are generally filed within 15 days.
What is Form-18?
Form-18 is used to declare changes in the company's ultimate beneficial owners, within 14 days of the change. The company's register of beneficial owners must also be updated, and a further declaration is filed with the annual return.
Do I need to tell SECP if my company changes its business?
Yes. A change in the company's principal line of business is reported on Form-4 within 30 days. If the new activity is outside the objects in your memorandum, the memorandum may also need to be altered by special resolution.
What happens if I miss an SECP filing deadline?
Late filings attract penalties under the Companies Act, 2017, and the company's records with SECP stay inaccurate until the filing is made. Repeated defaults can affect the company's standing and its directors. We file overdue forms and advise on any penalties.
How do I change my company's registered office?
The change is approved by the board, or by special resolution if it moves to another province, and then filed with SECP. We prepare the resolution and the filing. See our change of registered office service.
Can you review whether we have missed any filings?
Yes. We review the company's filing history on SECP against its registers and minutes, identify anything missing and file it in the right order.
How much do SECP filings cost?
Each filing has a fixed professional fee, plus any SECP fee. Many clients choose an annual corporate secretarial package that covers routine filings. Your first consultation is free.
