Company Valuation in Pakistan share value for issues, transfers, investors and tax

When shares in a Pakistani company are issued, transferred or bought back, someone needs to know what they are worth: the board, the investor, SECP, FBR or the other shareholders. We value company shares using recognised methods, tied to the company's accounts and plans, with a report that explains the value and its basis.

Company valuation

Share value is a company law, tax and commercial question at once

Valuing shares in a private Pakistani company is not just a finance exercise. The board must justify the issue price, shareholders want fairness, investors want a defensible entry point, and FBR is interested in the value used to compute capital gains. One well-reasoned valuation can serve all of them.

Company valuation starts with the company's financial statements and plans and applies recognised approaches: discounted cash flow for companies with predictable cash flows, multiples of comparable listed companies or transactions, and net asset value for asset-holding or early-stage companies. The equity value is then divided among the share classes, considering any preference shares, convertible instruments, shareholder agreements and the effect of minority or controlling positions.

Purpose shapes the work. For a further issue of shares, the Companies Act, 2017 and SECP regulations set requirements for how shares are offered and priced, and shares issued for consideration other than cash require the value of that consideration to be established. For share transfers, the value matters for the buyer and seller, and for capital gains tax under the Income Tax Ordinance, 2001, where FBR may look at fair market value. For buy-outs and family arrangements, fairness between shareholders is the central question. Where a regulation requires the valuation to be issued by a valuer with a particular qualification or listing, we say so at the outset and prepare the supporting analysis accordingly.

Each valuation is delivered as a report that sets out the purpose, the information used, the methods, the key assumptions, the per-share value and sensitivities. We discuss the draft with the board or shareholders before finalising, so the reasoning is understood by the people who will rely on it. Where the valuation supports a transaction, we also bridge from enterprise value to equity value, showing debt, surplus cash and working capital adjustments, so the price per share can be traced back to the business's value.

Company valuation works with our share allotment, share transfer and increase in authorised capital services for the SECP filings, and with corporate tax advisory on tax. For businesses that are not companies, see business valuation.

The same share price will be read by the board, an investor and FBR. We write the valuation so all three can follow it.

FAQs

Company valuation questions we hear most

Have a question that is not here? Send it to us on WhatsApp and we will reply the same day.

How are shares in a private company valued?
Usually with discounted cash flow, multiples of comparable companies or transactions, and net asset value, reconciled to a per-share value that reflects share rights and the size of the holding.
Do I need a valuation to issue new shares?
Often. The board needs to justify the issue price, investors want support for it, and shares issued for consideration other than cash require that consideration to be valued under company law.
Does FBR care about the value of a share transfer?
Yes. Capital gains on disposal of shares are taxable under the Income Tax Ordinance, 2001, and the value used can be tested against fair market value.
Can you value preference or convertible shares?
Yes. We allocate equity value across share classes based on their rights, such as dividend preference, conversion terms and liquidation priority.
Is a minority holding worth less per share?
It can be, because a minority shareholder cannot control decisions. Whether a discount applies depends on the purpose and the shareholder agreement.
Can you handle the SECP filings too?
Yes. Our corporate team files share allotments, transfers and capital changes. See share allotment.
How is this different from business valuation?
Company valuation focuses on company shares for issue, transfer and regulatory purposes. Business valuation covers any business and purpose.
How much does a company valuation cost?
We charge a fixed fee based on the company's size, the purpose and the methods needed. Your first consultation is free.
