Company benefits without needing a business partner

A single member company lets one person own a company outright. You get limited liability, a separate legal identity and the credibility of a registered company, without having to find a second shareholder just to meet the rules.

A single member company is incorporated with SECP through eZfile under the Companies Act, 2017. Because it has only one owner, the law requires a nominee to take over if the member dies or becomes unable to act. SECP's guidance says the nominee must be a relative of the single member: a spouse, father, mother, brother, sister, son or daughter. Any change of nominee must be reported to the registrar within 15 days on Form-9.

An SMC suits freelancers who have outgrown sole proprietorship, consultants, small traders and solo founders. When you bring in a partner or investor, the company can be converted to a private limited company. From day one, the company also needs its FBR registration, a bank account in its own name and proper bookkeeping, kept separate from your personal finances.

The biggest risk with a single member company is treating it like a personal account. We set it up so that never happens.

Risks we prevent

Common mistakes with single member companies

These are the problems we see most often with SMCs set up without advice.

01

Ineligible nominee

SECP's guidance limits nominees to close relatives; naming a friend or employee causes problems.

We choose an eligible nominee.
02

Nominee changes not filed

A change of nominee must reach the registrar within 15 days on Form-9.

We file changes promptly.
03

Mixing personal and company money

Using company funds personally blurs liability, salary and tax and weakens the protection a company gives.

We set up clean books and payroll.
04

No company bank account

Client payments into a personal account undermine the company's separate identity and complicate tax.

We help open the right account.
05

Missing annual filings

An SMC still files an annual return with SECP and income tax returns with FBR.

We diarise every filing.
06

Bringing in a partner informally

Taking on a co-owner without converting the company leaves their ownership unrecorded.

We handle the conversion.

FAQs

Single member company questions we hear most

Have a question that is not here? Send it to us on WhatsApp and we will reply the same day.

What is a single member company?
A single member company (SMC) is a company with only one member, or shareholder, incorporated with SECP under the Companies Act, 2017. It gives a sole owner limited liability and a separate legal identity, with a nominee who would take over if the member dies or cannot act.
Who can be the nominee of a single member company?
According to SECP's guidance, the nominee must be a relative of the single member: a spouse, father, mother, brother, sister, son or daughter. Any change of nominee must be reported to the registrar within 15 days on Form-9.
Is a single member company better than a sole proprietorship?
It depends. An SMC limits your liability and looks more established to clients and banks, but it brings company filings, separate books and a separate bank account. A sole proprietorship is simpler and cheaper to run. We compare both for your situation.
Can a single member company have employees?
Yes. An SMC can hire staff like any other company, and it must then run payroll properly, including tax deductions on salaries and contributions such as EOBI and social security. Our payroll services can handle this.
Can I add a partner to my single member company later?
Yes. When a second member joins, the company is converted to a private limited company through the required resolutions and filings within set time limits. We handle the conversion and the share transfer or allotment.
Does a single member company file returns?
Yes. It files an annual return with SECP, reports changes such as directors, nominee and registered office, and files income tax returns with FBR based on its accounts.
Can an overseas Pakistani register a single member company?
Yes. Overseas Pakistanis can own an SMC and complete most of the process remotely. We manage the filing and can help with the bank account and tax registration.
How much does it cost to register a single member company?
SECP's fees depend mainly on authorised capital, and our professional fee is fixed for the package. Your first consultation is free and you receive a written quote before any work starts.
