Sole proprietorships

A sole proprietorship is you in business, so your registration has to reflect that

A sole proprietorship is the simplest business structure in Pakistan. There is no company to incorporate and no SECP filings, but the business still needs to be registered properly with FBR so that your income, withholding and any sales tax are handled correctly.

For income tax, a sole proprietor is an individual. You register on FBR's IRIS portal, where your CNIC serves as your NTN, and add your business name, address and activity so FBR treats you as a business. Depending on what you sell, you may also need sales tax registration with FBR for goods, or with ICT, PRA, SRB, KPRA or BRA for services, as well as any local trade licences or chamber membership your bank or customers ask for.

Each year, your business income is reported in your individual income tax return, alongside your wealth statement. The simplicity comes with unlimited personal liability, so if you want to protect your personal assets, a single member company may suit you better. We also handle your business income tax return each year.

Most sole proprietors we meet are registered as individuals with no business details at all. Fixing that one thing solves many later problems.

FAQs

Sole proprietorship questions we hear most

Have a question that is not here? Send it to us on WhatsApp and we will reply the same day.

How do I register a sole proprietorship in Pakistan?
A sole proprietorship is registered with FBR rather than SECP. You register on IRIS, where your CNIC serves as your NTN, and add your business name, address and activity. Depending on your business, you may also need sales tax registration and local licences.
Does a sole proprietorship need to register with SECP?
No. Only companies and LLPs are registered with SECP. A sole proprietorship is simply you trading under a business name, registered for tax with FBR.
Can I use a business name as a sole proprietor?
Yes. You can trade under a business name and record it in your FBR profile. A business name does not create a separate legal entity, and it is not protected like a registered company name or trademark.
Do I need sales tax registration?
It depends on what you sell. Some suppliers of goods must register with FBR, and taxable services are registered with ICT, PRA, SRB, KPRA or BRA depending on where you operate. We check your obligations.
How is a sole proprietor taxed?
Your business income is taxed as part of your individual income and reported in your annual return, with your wealth statement. Withholding tax deducted from payments you receive can usually be claimed against your liability.
Am I personally liable for my business's debts?
Yes. A sole proprietor has unlimited personal liability. If you want to limit your risk, consider a single member company.
Can I open a bank account in my business name?
Many banks offer accounts for sole proprietors in a business name, usually requiring your NTN, CNIC and evidence of the business. We prepare the documents banks typically ask for.
How much does sole proprietorship registration cost?
Our registration fee is fixed and can be combined with your first return. Your first consultation is free.
