Registering a company

The company type you choose shapes ownership, investment and compliance for years

Registering a company in Pakistan gives your business its own legal identity and limits the owners' liability. But each type of company comes with its own rules on members, share transfers, directors and filings, and changing type later takes time and paperwork.

Companies are incorporated with the Securities and Exchange Commission of Pakistan under the Companies Act, 2017 and the Companies Regulations, 2024. A single member company has one owner, a private limited company has between two and 50 members and restricts share transfers, and a public limited company has at least three members and suits wider ownership. Applications are filed online through SECP's eZfile portal, where the memorandum and articles of association are generated with the application.

Registration is the first step. After incorporation, the company must notify its registered office within 30 days, file a return of allotment for shares within 45 days, keep a beneficial ownership register and report changes on time, alongside its FBR tax registration and annual returns. We plan all of it from the start through our SECP incorporation and corporate compliance services.

Choosing the right company type takes one conversation. Converting to a different type later takes months.

Risks we prevent

Where company registration usually goes wrong

These are the issues we fix most often for companies registered in a hurry.

01

The wrong company type

A single member company that needs investors, or a private company that never needed partners, means a conversion later.

We match the type to your plans.
02

Objects that are too narrow

A memorandum that does not cover what you actually do causes problems with banks, PSEB and licences.

We draft objects that fit.
03

Registered office never notified

The registered office must be notified within 30 days of incorporation.

We file it straight away.
04

Shares issued without a return

A return of allotment on Form-3 is due within 45 days of issuing shares.

We file allotments on time.
05

Beneficial owners not recorded

Companies must keep a beneficial ownership register and declare changes within 14 days.

We set up and maintain the register.
06

Tax registration forgotten

A company without its FBR profile in order soon faces withholding and notice problems.

We complete the tax side too.

FAQs

Company registration questions we hear most

Have a question that is not here? Send it to us on WhatsApp and we will reply the same day.

What types of company can I register in Pakistan?
The most common are single member companies, with one owner, private limited companies, with two to 50 members, and public limited companies, with three or more members. Limited liability partnerships are another option for partnerships. Each type has different rules on ownership, share transfers and filings.
How do I register a company with SECP?
Applications are filed online through SECP's eZfile portal. You reserve a name, complete the incorporation application, attach the subscribers' CNICs or passports, sign with the PIN each subscriber receives and pay the fee. The memorandum and articles are generated online, and the certificate of incorporation is issued digitally.
How many directors and members does a company need?
A single member company has one member, a private limited company needs at least two and no more than 50 members, and a public limited company needs at least three. Director requirements follow the company type. We confirm the right numbers for your structure.
What documents are needed to register a company?
Usually copies of the CNICs or passports of all subscribers and directors, your proposed names, the registered office address, the share capital and shareholding, and a clear description of the business. Foreign nationals may need additional documents. We send a checklist for your situation.
How much does it cost to register a company?
SECP's fees depend mainly on the authorised capital you choose, and name reservation has its own small fee. Our professional fee is fixed and quoted upfront. Your first consultation is free.
What do I need to do after the company is registered?
Notify the registered office within 30 days, file a return of allotment within 45 days of issuing shares, maintain the beneficial ownership register, complete the company's FBR tax profile and open a bank account. After that come annual returns and event-based filings.
Can I change the company type later?
Yes. A single member company can convert to a private limited company when new members join, and a private company can convert to public, through resolutions and filings within set time limits. Getting the type right at the start avoids that work.
Can overseas Pakistanis or foreigners register a company?
Yes. Overseas Pakistanis and foreign nationals can be subscribers and directors. Foreign nationals face additional documentation and checks, including security clearance where required. We can complete the process with you remotely.
