Compliance Audit in Pakistan tax, SECP and regulatory obligations checked

A compliance audit checks whether your business is actually meeting the legal and regulatory obligations that apply to it: tax filings and withholding, SECP returns and registers, payroll obligations and the conditions of your licences and contracts. We review each one, report the gaps clearly and help you close them.

Compliance audit

Compliance gaps are usually found by regulators, unless you look first

Most Pakistani businesses are subject to more obligations than anyone in the business can list: federal and provincial tax, SECP filings and registers, payroll obligations and the conditions attached to registrations, licences and loans. A compliance audit makes that list and checks each item.

A compliance audit compares what the business is required to do with what it has actually done. For tax, that covers income tax and sales tax registration and filing, withholding under the Income Tax Ordinance, 2001 and quarterly statements under section 165, provincial sales tax on services, and the Active Taxpayers List. For companies, it covers the Companies Act, 2017 and SECP requirements: annual returns, filings of changes in directors, shareholding, registered office and beneficial ownership within their time limits, statutory registers and minutes, and the holding of annual general meetings within 120 days of the year-end.

Depending on the business, we also review payroll obligations, PSEB and other registrations, chamber or sector licences, and the reporting and covenant conditions in loan or donor agreements. The output is a report that lists each obligation, the evidence reviewed, the status and the action needed, ranked by risk, so management or the board can see the position at a glance.

Evidence matters in a compliance audit. For each obligation we look for proof, not assurance: the IRIS acknowledgement for a return, the CPR for a deposit, the SECP eServices record for a filing, the signed minutes for a meeting, the register entry for a share transfer. Where the evidence is missing, the item is reported as a gap even if staff believe it was done, because that is how a regulator would see it. We then work with you to locate the evidence or regularise the position, whichever is needed.

A compliance audit is broader than a tax compliance review, which tests tax filings in depth. Corporate gaps are fixed by our corporate compliance and SECP filings teams, and payroll gaps by our payroll services.

We do not just tell you a form was late. We tell you which form, by how long, what it may cost and how to fix it.

FAQs

Compliance audit questions we hear most

Have a question that is not here? Send it to us on WhatsApp and we will reply the same day.

What is a compliance audit?
It is a review of whether a business is meeting the legal, regulatory and contractual obligations that apply to it, such as tax filings, SECP returns and registers, payroll obligations and licence conditions.
Is a compliance audit the same as a statutory audit?
No. A statutory audit gives an opinion on the financial statements. A compliance audit checks whether obligations are being met, and can be carried out at any time.
Which SECP obligations are checked?
Typically annual returns, filings of changes in directors, shareholding, registered office and beneficial ownership, statutory registers, minutes and the holding of AGMs within the time allowed.
Which tax obligations are checked?
Income tax and sales tax registrations and returns, withholding and quarterly section 165 statements, provincial sales tax on services and Active Taxpayers List status.
What happens if gaps are found?
The report explains each gap and the fix. Many can be resolved by filing late forms or returns, rebuilding registers or updating registrations, often with our corporate and tax teams.
How often should a compliance audit be done?
Many businesses do one each year, and before major events such as investment, sale, change of management or an expected regulatory review.
Can you cover provincial obligations?
Yes. We review registration and filing with provincial revenue authorities for sales tax on services where your business is liable.
How much does a compliance audit cost?
We charge a fixed fee based on the obligations in scope and the size of the business. Your first consultation is free.
