Registered office changes

Your registered office is where the law says your company can be found

A company's registered office is its official address for SECP, FBR, courts and anyone serving formal notice. Notices sent to the registered office on record count as delivered, even if you moved out months ago.

Every company must have a registered office, notified to SECP within 30 days of incorporation and kept up to date afterwards. Its statutory registers, minutes and books are kept there. A move within the same city usually needs a board decision and an SECP filing. A move that takes the office into a different province affects the company's memorandum and needs a special resolution and SECP's confirmation before it takes effect, with petitions after special resolutions due within the time SECP allows.

The move also matters for tax. Your FBR profile on IRIS, your tax jurisdiction, any sales tax registration and provincial services registration may all need updating, as may your bank, PSEB registration, chamber membership and trade licences. We handle the corporate side and coordinate with our income tax registration and sales tax registration teams.

The most expensive part of a move is usually a notice that went to the old address. We make sure every regulator knows where you are.

FAQs

Registered office questions we hear most

Have a question that is not here? Send it to us on WhatsApp and we will reply the same day.

How do I change my company's registered office?
It depends on the type of move. A move within the same city usually needs a board decision and a filing with SECP. A move to another province needs a special resolution, an alteration of the memorandum and SECP's confirmation. We confirm the steps for your move.
When do I need to notify SECP of a new registered office?
A new company notifies its registered office within 30 days of incorporation, and any later change must be filed with SECP within the time the law allows. We file the change as soon as it is approved.
Can I use a home address as the registered office?
A registered office must be a real address where the company can receive notices and keep its records. Some registrations, such as sales tax and PSEB, look at actual business premises, and some, like firm registration in Islamabad, expect commercial premises. We advise on what each will accept.
Does moving office change my tax jurisdiction?
It can. A new address may move the company to a different FBR jurisdiction, and providing services from a new province may require registration with that province's revenue authority. We update your FBR profile and check your sales tax position.
What else needs updating after a move?
Typically your FBR profile, sales tax and provincial registrations, bank records, PSEB registration, chamber membership, trade licences, contracts, letterheads, invoices and website. We give you a checklist and handle the formal updates.
What happens if I do not update the registered office?
Official notices continue to be sent to the old address and are treated as delivered, so deadlines can pass without you knowing. Not filing the change is also a default under the Companies Act, 2017.
Can you move the company's records for us?
Yes. We organise the statutory registers, minutes and books of account and make sure they are kept at the new registered office.
How much does a change of registered office cost?
Our fee is fixed and depends on whether the move is local, intercity or interprovincial. Your first consultation is free.
