Limited liability partnerships

An LLP keeps the flexibility of a partnership and limits each partner's risk

A limited liability partnership is a separate legal entity, registered with SECP, that is owned and run by its partners under an agreement they write themselves. It suits professional firms and businesses that want the informality of a partnership without unlimited personal liability.

Under the Limited Liability Partnership Act, 2017, any two or more persons carrying on a lawful business with a view to profit can form an LLP. The name must end with "LLP", and a reserved LLP name is held for 30 days, so the incorporation should follow quickly. The LLP agreement, which should be signed, witnessed and notarised, sets out contributions, profit sharing, designated partners, decision-making and what happens when a partner leaves. If no designated partners are named, all partners act as designated partners.

After registration, the LLP keeps books at its registered office, prepares financial statements within four months of its year end and keeps its beneficial ownership declarations up to date. An LLP's tax treatment needs careful advice, and SECP registration does not register it with FBR, so we complete its tax registration as part of the service. Existing partnerships and private companies can also convert into an LLP.

Most partner disputes are settled, or caused, by the agreement. We help you write one that works when things go wrong, not just when they go right.

Risks we prevent

Common mistakes with LLPs

These are the issues we see most often in LLPs formed without advice.

01

A thin LLP agreement

An agreement that is silent on exits, deadlock and new partners leaves disputes to chance.

We draft a complete agreement.
02

Name reservation lapsing

An LLP name is reserved for only 30 days, so documents must be ready first.

We reserve when ready to file.
03

Assuming SECP registers it for tax

SECP incorporation does not register the LLP with FBR; that is a separate step.

We complete the tax registration.
04

Unclear tax treatment

How an LLP and its partners are taxed needs specific advice for your facts.

We advise before you register.
05

Late financial statements

Financial statements are due within four months of the LLP's year end.

We prepare them on time.

Have a question that is not here? Send it to us on WhatsApp and we will reply the same day.

What is an LLP in Pakistan?
A limited liability partnership is a separate legal entity registered with SECP under the Limited Liability Partnership Act, 2017. It is run by its partners under an LLP agreement, and the partners' personal assets are generally protected from the LLP's debts.
How many partners does an LLP need?
Two or more persons carrying on a lawful business with a view to profit can form an LLP. Partners can be individuals and, in some cases, other entities, and foreign nationals can be partners with the required documents.
What is a designated partner?
Designated partners are responsible for the LLP's compliance with the law. The LLP can name specific designated partners, who file their consent, or, if none are named, all partners act as designated partners.
How long is an LLP name reserved?
A reserved LLP name is held for 30 days, and the name must end with "LLP". The incorporation application should be filed within that window, so we prepare the agreement and documents before reserving.
How is an LLP taxed in Pakistan?
Published commentary differs on how LLPs are treated for income tax, and the answer can depend on your facts. SECP registration does not register the LLP with FBR. We give you written advice on the tax position before you register and complete the FBR registration afterwards.
What is the difference between an LLP and a partnership firm?
A partnership firm registered under the Partnership Act, 1932 is not a separate legal entity, and partners generally have unlimited liability. An LLP is a separate legal entity registered with SECP, with limited liability for its partners and more formal compliance.
Can an existing partnership or company convert into an LLP?
Yes. Firms and private companies can convert into an LLP, subject to conditions such as solvency and the agreement of partners and creditors, or that the LLP's partners are exactly the company's shareholders.
How much does LLP registration cost?
SECP's fees for LLP name reservation and incorporation are modest, and our professional fee for the package is fixed. Drafting a detailed LLP agreement is included. Your first consultation is free.
