Structure comparison
Sole proprietor, AOP and company modelled side by side.
For a business owner, tax planning starts with structure: sole proprietor, AOP or company. It continues with how income is documented, which regimes apply, how expenses are supported and how the owner draws money out. We plan all of it together, so the business and the owner pay what the law requires and no more.
Many Pakistani businesses run as sole proprietorships or partnerships long after they have outgrown them, and some incorporate too early. Each structure is taxed differently, and the best choice changes as profits, partners and plans change.
A sole proprietor's business income is taxed as part of the owner's individual income, at the progressive rates for individuals. A partnership or other association of persons is taxed at the AOP level under section 92 of the Income Tax Ordinance, 2001, and a member's share of the AOP's profit is generally exempt in the member's hands, though it can affect the rate on the member's other income. A private limited company pays corporate tax on its profit, and shareholders pay separate tax on dividends, so the total burden depends on how much profit is distributed and how directors are paid.
Beyond structure, business tax planning covers which receipts fall under final or minimum tax regimes, whether minimum tax under section 113 applies to an individual or AOP once turnover passes the threshold in the law, how expenses are supported so they remain deductible, tax depreciation on business assets, the timing of income and expenditure around 30 June, and how the owner's drawings and wealth statement reconcile with business profit.
If a change of structure makes sense, our corporate team handles it: partnership registration, company registration or sole proprietorship registration. For companies, see corporate tax planning.
