A partnership is only as strong as the deed behind it

A partnership is the simplest way for two or more people to run a business together. But an informal arrangement with no written deed and no registration leaves the partners exposed, both to each other and in any dispute with clients or suppliers.

Firms are formed under the Partnership Act, 1932 and registered with the Registrar of Firms in the relevant province or territory. In Islamabad, ICT Administration's published procedure requires Form-I, a partnership deed on Rs 1,000 stamp paper, a Rs 1,000 registration fee paid at National Bank, an affidavit, proof of an office in a commercial area and copies of the partners' and witnesses' CNICs, all notarised. The partners and witnesses then appear before the Registrar, and the certificate is usually issued in about ten days. Registration matters because an unregistered firm faces legal limits on enforcing its rights in court.

For tax purposes, a firm is an association of persons (AOP) under the Income Tax Ordinance, 2001 and needs its own NTN, issued through our AOP registration service. If the partners want limited liability, an LLP or a private limited company may suit better.

Every partnership dispute we have helped resolve came down to something the deed did not say. We make sure yours says it.

Risks we prevent

Common mistakes with partnership firms

These issues are common in partnerships set up with a template deed or no deed at all.

01

No written deed

Without a deed, the Partnership Act's default rules decide profit shares and duties, which rarely match what partners intended.

We draft a full deed.
02

An unregistered firm

An unregistered firm faces legal limits on enforcing its rights against third parties in court.

We register with the Registrar.
03

No exit or death clause

When a partner leaves or dies, a deed that is silent can dissolve the firm or freeze the business.

We plan for exits and succession.
04

Premises in a non-commercial area

In Islamabad, the firm's office must be in a commercial area for registration.

We check premises before filing.
05

No AOP tax registration

A firm needs its own NTN as an AOP; using a partner's personal NTN causes tax problems.

We register the firm with FBR.
06

Unlimited liability overlooked

Partners in a firm generally have unlimited personal liability for its debts.

FAQs

Partnership registration questions we hear most

Have a question that is not here? Send it to us on WhatsApp and we will reply the same day.

How do I register a partnership firm in Pakistan?
Firms are registered with the Registrar of Firms in the relevant province or territory under the Partnership Act, 1932. In Islamabad, the process involves Form-I, a partnership deed on Rs 1,000 stamp paper, a registration fee paid at National Bank, an affidavit, premises documents and the partners' CNICs, followed by an appearance before the Registrar.
Is it compulsory to register a partnership?
A partnership can exist without registration, but an unregistered firm faces legal limits on enforcing its rights against third parties in court, and banks and clients often ask for a registration certificate. Registration is strongly recommended.
What should a partnership deed include?
At minimum: the partners, the business and its address, capital contributions, profit and loss sharing, salaries and drawings, duties, how decisions are made, admitting new partners, what happens when a partner leaves or dies, and how disputes are resolved.
How long does partnership registration take?
ICT Administration lists a processing time of about ten days in Islamabad once the documents are submitted and the appointment is attended. Other provinces have their own timelines. We give you a realistic estimate for your location.
How is a partnership taxed?
For income tax, a firm is an association of persons (AOP) and files its own return with its own NTN. Partners' shares of profit are dealt with under the AOP rules in the Income Tax Ordinance, 2001. We register the firm with FBR and keep the firm's and partners' returns consistent.
Are partners personally liable for the firm's debts?
Generally, yes. Partners in a firm under the Partnership Act, 1932 have unlimited liability. If you want to limit your personal risk, consider an LLP or a private limited company.
Can I convert my partnership into a company or LLP later?
Yes. Firms can convert into an LLP, subject to conditions such as solvency and the agreement of partners and creditors, or transfer the business into a new company. We plan the conversion and its tax consequences.
How much does partnership registration cost?
Government costs include the registration fee and stamp paper, and our professional fee for the deed and registration is fixed. Your first consultation is free and every fee is listed before work starts.
