Easy exit

The simplest way to close a company that has nothing left in it

For a company that has stopped trading and has nothing left on its balance sheet, a full winding up is usually unnecessary. SECP's easy exit scheme lets the company apply directly to the registrar to have its name struck off the register.

According to SECP, a private or unlisted public company that has ceased to operate and has no known assets and liabilities can apply to the registrar to strike its name off, under section 426 of the Companies Act, 2017, instead of filing a winding-up petition in court. SECP runs an online process for these applications, and its easy exit rules now sit within the Companies Regulations, 2024.

Getting to that point usually takes some preparation. Bank accounts must be closed, assets distributed or disposed of, liabilities settled, and the company's filing record with SECP and its tax position with FBR put in order. If the company still has assets or creditors, a different closure route is needed. If you later need the company back, see company restoration.

Most of the work in a strike-off is getting the company genuinely empty and up to date. The application itself is the easy part.

FAQs

Company strike-off questions we hear most

Have a question that is not here? Send it to us on WhatsApp and we will reply the same day.

Which companies can use easy exit?
According to SECP, a private or unlisted public company that has ceased to operate and has no known assets and liabilities can apply to the registrar to have its name struck off under section 426 of the Companies Act, 2017.
What is the difference between strike-off and winding up?
Strike-off under easy exit simply removes a company with nothing left in it from the register, on application. Winding up is a formal process in which assets are realised, creditors paid and any surplus distributed, either voluntarily or through the court. Winding up is needed when the company still has assets or liabilities.
Does the company need to close its bank account first?
Yes. Cash in a bank account is an asset, so the company's bank accounts should be closed and any balance dealt with before applying for easy exit.
Do overdue filings need to be completed first?
Often, yes. Gaps in the company's SECP filings can hold up the application, so we review the filing record and bring it up to date where required.
What about the company's tax registration?
Final tax returns should be filed and the company's FBR registrations closed, so FBR does not continue to expect returns after the company is struck off.
Can SECP strike off a company on its own?
Yes. Companies that persistently fail to file can be placed on the inactive register and ultimately struck off by the registrar. Applying for easy exit yourself is far cleaner than waiting for that to happen.
Can a struck-off company be restored?
In some cases, yes, if the legal conditions are met. See our company restoration service.
How much does a company strike-off cost?
We charge a fixed fee for the strike-off, with any catch-up filings or tax work quoted separately. Your first consultation is free.
