Closing a company

A company that stops trading still exists until it is properly closed

Many companies simply stop trading and are left on the register. But a dormant company still has filing obligations with SECP and FBR, its directors remain responsible, and penalties keep building until it is properly closed.

The right route depends on the company's position. A private or unlisted public company that has ceased to operate and has no known assets and liabilities can use SECP's easy exit scheme, under section 426 of the Companies Act, 2017, to apply directly to the registrar to have its name struck off instead of going through a winding-up petition. A solvent company with assets to distribute can be wound up voluntarily by its members, while a company that cannot pay its debts needs a process that protects its creditors, and contested cases may need the court.

Closure is not only an SECP matter. Final income tax and, where registered, sales tax returns need to be filed, withholding obligations settled, tax registrations closed and any outstanding notices resolved. Bank accounts, PSEB registration and licences need closing too. We plan all of it together, using our company strike-off service where easy exit fits and our tax compliance review to clear the tax side.

Leaving a company dormant feels free. In our experience it is usually the most expensive option once the penalties arrive.

Risks we prevent

Where company closures usually go wrong

These are the problems we see when companies are abandoned or closed in a hurry.

01

Abandoning the company

A dormant company still owes annual filings, and penalties grow every year it is left.

We close it properly.
02

The wrong route

Easy exit is only for companies with no business and no known assets or liabilities.

We check eligibility first.
03

Tax left open

An open FBR registration keeps generating return obligations and notices.

We file final returns and close it.
04

Assets left in the company

Property, cash or receivables left behind must be dealt with before closure.

We plan distributions.
05

Creditors overlooked

A company that cannot pay its debts needs a process that protects creditors.

We choose a compliant route.
06

Directors still exposed

Until the company is removed from the register, directors remain responsible for its defaults.

We see it through to the end.

FAQs

Company closure questions we hear most

Have a question that is not here? Send it to us on WhatsApp and we will reply the same day.

How do I close a company in Pakistan?
It depends on the company's position. A company that has stopped operating and has no known assets or liabilities can apply to SECP to be struck off under the easy exit scheme. Solvent companies with assets can be wound up voluntarily by their members, and companies that cannot pay their debts need a process that protects creditors.
What is the easy exit scheme?
It allows a private or unlisted public company that has ceased to operate and has no known assets and liabilities to apply directly to the registrar to have its name struck off, under section 426 of the Companies Act, 2017, instead of filing a winding-up petition. See our company strike-off service.
Can I just leave my company dormant?
You can, but it still has filing obligations with SECP and FBR, and penalties for missed filings keep building. Companies that do not file can be placed on the inactive register and eventually struck off, but directors remain responsible for defaults in the meantime.
Do I need to close the company's tax registration?
Yes. Final income tax returns, and sales tax and withholding returns where applicable, should be filed and the registrations closed. Otherwise FBR continues to expect returns and may issue notices.
What happens to the company's assets on closure?
Assets need to be realised or distributed before closure. For easy exit, the company must have no known assets or liabilities. In a voluntary winding up, assets are used to pay liabilities and the balance is distributed to members, with tax consequences to consider.
Can a closed company be brought back?
In some cases, a company that has been struck off can be restored if the legal conditions are met. See our company restoration service.
Can I close a company from abroad?
Yes. Most of the process can be completed remotely, with directors signing documents electronically or through authorised representatives.
How much does it cost to close a company?
It depends on the route and how much clean-up is needed, such as overdue filings or final tax returns. We quote a fixed fee after a short review. Your first consultation is free.
