Setting up a startup

Decisions made in the first month show up in every funding round after

Founders are focused on product and customers, and the setup often gets rushed. But the company type, the founders' equity split, who owns the IP and how the books are kept all surface again when investors start due diligence.

Most startups in Pakistan incorporate with SECP through eZfile as a single member company or a private limited company, depending on how many founders there are. A founders' agreement should cover equity, vesting, roles and what happens if someone leaves, and the cap table should leave room for investors and an employee share pool. Startups exporting software or services usually also register with PSEB to access the reduced final tax rate on export proceeds under section 154A of the Income Tax Ordinance, 2001.

From the first month, investors expect clean books, a clear separation between company and personal money and financial projections that tie back to actual numbers. We combine our corporate setup with our financial modelling and bookkeeping services, so your startup is ready to raise when you are.

Investors do not expect a perfect startup. They do expect a clean cap table, clear IP ownership and books they can trust.

Risks we prevent

Startup setup mistakes investors notice

These are the issues that slow fundraising most often.

01

No founders' agreement

Without written terms, a co-founder leaving can take their equity and leave a hole in the company.

We put founders' terms in place.
02

A cap table full of promises

Equity promised informally to advisers or early staff becomes a due diligence problem.

We document every holding.
03

IP owned by founders

Code or designs created before incorporation may still belong to individuals.

We assign IP to the company.
04

Company and personal money mixed

Revenue in personal accounts and expenses on personal cards blur the numbers.

We separate the finances.
05

Missing PSEB registration

Exporting startups can pay the standard rate on export proceeds without PSEB.

We register you early.
06

Projections with no basis

Forecasts that do not tie to actual results lose investor confidence quickly.

We build models from real data.

FAQs

Startup registration questions we hear most

Have a question that is not here? Send it to us on WhatsApp and we will reply the same day.

Which company type is best for a startup in Pakistan?
A private limited company suits most startups with two or more founders or plans to raise investment. A single member company suits a solo founder and can be converted later. Some venture-backed startups also use a foreign holding company, which we compare carefully before you decide.
Do co-founders need a founders' agreement?
Yes. A founders' agreement sets out equity, vesting, roles, IP ownership and what happens if a founder leaves. It is one of the first documents investors ask about, and it prevents disputes later.
How do we split equity between founders?
There is no single rule. Founders usually weigh contribution, commitment, roles and capital. Vesting over time protects everyone if someone leaves early. We help you document whatever you agree.
Should our startup register with PSEB?
If you export software or IT-enabled services, usually yes. PSEB-registered exporters have been eligible for a reduced final tax rate on export proceeds since 2022. See our PSEB registration service.
When should we set up an employee share pool?
Ideally before your first funding round, so the pool is reflected in the cap table investors see. We help plan the pool and the share issues that follow.
Do investors care about our bookkeeping?
Yes. Investors check revenue, costs and cash against your projections, and clean books make due diligence far faster. We set up accounting that supports investor reporting from the first month.
Can you help us prepare for fundraising?
Yes. Our business advisory team builds financial models and projections, and our corporate team handles share allotments and filings when investment comes in.
How much does startup registration cost?
We offer a fixed startup package covering incorporation, founders' terms, registrations and setup, with SECP fees listed separately. Your first consultation is free.
